Article 1
Preamble
These Terms and Conditions of Sale (the “Terms”) govern the contractual relationship between AMETIS EURL, SIRET 45334343600011, whose registered office is located at 162 rue Jean Moulin, 38490 Saint-André-le-Gaz, France (hereinafter “the Seller”), and any natural or legal person (hereinafter “the Customer”) purchasing raw materials through the TchadAgriSourcing website. Any order placed on the TchadAgriSourcing website implies unreserved acceptance of these Terms, in force as of 1 January 2025.
Article 2
Products
The products offered for sale are agricultural and natural raw materials imported from Chad, including but not limited to: gum arabic, sesame, chébé, moringa, shea, spirulina, hibiscus, kinkeliba, papaya and other natural Chadian products. The essential characteristics of the products are presented on the TchadAgriSourcing website. Photographs and descriptions are not contractual and may vary from one batch to another. Exact specifications are set out in the Certificate of Analysis (COA) provided with each order.
Article 3
Orders
The Customer may place an order directly on the TchadAgriSourcing website or by direct contact (email, telephone, WhatsApp). A personalised quote will be drawn up for every order. The order is only considered final after written acceptance of the quote by the Customer and payment of the agreed deposit.
Article 4
Prices
Product prices are stated in euros (€), excluding tax (VAT excluded). They do not include transport, insurance and customs costs, which are borne by the Customer unless otherwise stipulated in the quote. The applicable Incoterms (FOB, CIF, DDP, EXW) are specified in each quote. The applicable price is the one in force at the time the quote is accepted.
Article 5
Payment Terms
Payment is made by bank transfer or any other means of payment agreed between the parties. A deposit may be requested at the time of order, with the balance payable in accordance with the terms specified in the quote. Late payments will automatically incur late-payment penalties calculated on the basis of the increased statutory interest rate, in accordance with French Law No. 92-1442 of 31 December 1992 and Article L441-10 of the French Commercial Code.
Article 6
Delivery
Delivery is carried out by a carrier chosen by mutual agreement between the Seller and the Customer. Delivery times are given as an indication only and may vary depending on customs constraints and international logistics. The Seller accepts no liability for delivery delays attributable to third parties or to external circumstances. The risks associated with transport are transferred to the Customer in accordance with the Incoterm agreed in the quote.
Article 7
Receipt of Goods
It is the Customer’s responsibility to check the condition of the packages and the conformity of the goods on receipt. Any reservations must be made in writing on the delivery note and confirmed to the carrier by registered letter with acknowledgement of receipt within 48 hours of receipt. A copy of this letter must be sent to the Seller within the same time frame at contact@tchadagrisourcing.com.
Article 8
Force Majeure
The Seller cannot be held liable for any failure to perform or delay in performing its obligations due to an event of force majeure, as defined by French case law, including in particular natural disasters, armed conflicts, and large-scale customs or health disruptions.
Article 9
Governing Law and Disputes
These Terms are governed by French law. In the event of a dispute, the parties will endeavour to reach an amicable solution. Failing an amicable agreement, the competent courts of Grenoble shall have sole jurisdiction, notwithstanding multiple defendants or third-party proceedings.
Article 10
Personal Data
Personal data collected via the TchadAgriSourcing website is processed in compliance with the General Data Protection Regulation (GDPR — EU Regulation 2016/679) and applicable French law. It is used solely within the framework of the commercial relationship between the Seller and the Customer. In accordance with the GDPR, the Customer has the right to access, rectify, erase, port and object to data concerning them, by contacting the Seller by email at contact@tchadagrisourcing.com.
Seller’s details
